Mobile Messaging & Telephone Terms and Conditions and Privacy Policy

Private Dentists Only GPO, LLC d/b/a Private Dental Alliance (“PDA,” “we,” “us,” or “our”) offers a Mobile Messaging & Telephone Program (“Program”), which you agree to use and participate in subject to these Mobile Messaging & Telephone Terms and Conditions and Privacy Policy (“Terms”).
By opting into or participating in the Program, you accept and agree to these Terms, including the agreement to resolve any disputes through binding, individual-only arbitration as outlined in the “Dispute Resolution” and “Binding Arbitration” sections. These Terms apply only to this Program and do not modify other agreements or policies that may govern your relationship with PDA.
1. Modification of Terms
We may revise these Terms at any time. Updates will be effective on the date indicated at the top of these Terms. Continued participation in the Program constitutes your acceptance of any changes. You must regularly review these Terms to stay informed.
2. Participant Requirements
Participants must be wireless subscribers with a two-way messaging-capable device on a carrier network that supports SMS and MMS messaging. Check with your carrier for details.
3. User Opt-In
By opting in, you consent to receive promotional and informational messages and calls from PDA or its authorized agents, including those sent via automated dialing systems or prerecorded voice. You are not required to make any purchases to participate. Message and data rates may apply.
4. User Opt-Out
To stop receiving messages, reply “STOP” to any PDA message or call us at 844-799-2376. Alternative opt-out methods are not considered valid. Carriers may automatically opt out deactivated or reassigned numbers.
5. No Mobile Information Sharing for Marketing
We do not share mobile numbers or related data with third parties or affiliates for marketing purposes. Consent data will never be sold or disclosed.
6. Termination of Use
We reserve the right to terminate your access to the Program or related services at any time for any reason, including violations of these Terms.
7. Age Restrictions
You must be 18 years or older to participate. You certify that the number provided is yours or that you are authorized to use it.
8. User Conduct
You agree not to:
- Interfere with the operation of our services
- Misrepresent your identity
- Use the Program for unlawful, abusive, or harassing purposes
9. Duty to Notify and Indemnify
If your phone number changes or is reassigned, you must opt out before the change. You agree to indemnify PDA and its agents for any legal claims arising from your failure to do so, including those under the Telephone Consumer Protection Act (TCPA).
10. Program Description
You may receive messages and calls about:
- Promotions
- Membership updates
- New programs and benefits
- General communications from PDA
11. Cost and Frequency
We do not charge for messages or calls, but your carrier may. Messaging frequency will vary depending on your interaction.
12. Support Instructions
Text “HELP” for support or call us at 844-799-2376. Email is not a valid opt-out method.
13. MMS Disclosure
If your device doesn’t support MMS, we may send SMS messages instead.
14. Push Notifications
With your consent, we may send push notifications. You can disable them in your mobile device settings.
15. Use of Third Parties
We may use third-party vendors to facilitate the Program. These vendors operate under their own terms and privacy policies.
16. Disclaimer of Warranty
The Program is offered “as is.” We are not liable for message delays or failures due to network or carrier issues.
17. Accuracy of Information
You agree to provide truthful and accurate contact information when participating in the Program.
18. Privacy Policy
This Program-specific privacy policy describes the collection, use, and protection of personal information related to mobile messaging and calls. It does not alter or replace PDA’s broader Privacy Policy.
19. California Residents
You may request:
- Access to the personal data we have collected in the past 12 months
- Deletion of your personal data, subject to legal exemptions

20. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to the Program shall be governed by the laws of the State of Texas, without regard to conflict of law principles.
21. Venue – Bexar County, Texas
Except where arbitration is required, any legal action arising from these Terms or the Program must be filed in the state or federal courts located in Bexar County, Texas. All parties consent to the exclusive personal jurisdiction and venue of those courts.
22. Dispute Resolution
If a dispute arises, both parties must attempt in good faith to resolve the issue informally by providing written notice and engaging in a 60-day resolution period. Send notice to:

23. Binding Arbitration
If unresolved, disputes shall be submitted to binding arbitration in Bexar County, Texas under the rules of the American Arbitration Association (AAA). Each party waives the right to go to court or have a jury trial. The arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.
24. No Class Actions
Disputes must be resolved on an individual basis. No class actions, collective actions, or representative proceedings are allowed.
25. Limitation of Liability
To the fullest extent permitted by law, PDA is not liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Program.
26. Time Limit for Claims
All claims must be initiated within the applicable statute of limitations from the date the dispute arises.
27. Severability
If any provision of these Terms is found to be unenforceable, the remainder shall remain in full force and effect.
28. Miscellaneous
You represent that you have the legal authority to agree to these Terms. Any updates to the Program will be governed by these Terms unless expressly stated otherwise.
